1. Scope and Applicability

These Terms of Use govern access to and use of the website CNC Substrates (the “Website”). The Website is operated by CNC Grondstoffen B.V., including its affiliated companies (collectively referred to as the “Company”).
By accessing, browsing, or otherwise using the Website, the user (the “User”) confirms that they have read, understood, and accepted these Terms of Use in their entirety. If the User does not agree with these Terms of Use, the User must immediately discontinue use of the Website. These Terms apply to all visitors, users, customers, growers, and other parties accessing the Website and to all information made available through it.

2. Informational Nature of Website Content

The Website provides information about the Company, its products, cultivation substrates, strains, cultivation methods, and related technical and agronomic guidance. All information provided on the Website is intended solely for general informational purposes. Although the Company endeavors to ensure that the information presented is accurate and based on generally accepted industry practices, the Company does not guarantee that the information is complete, accurate, current, or suitable for any particular purpose. The information available on the Website cannot be interpreted as professional cultivation advice, engineering advice, or a guarantee of operational results. Users must independently assess the suitability of any information for their own production systems and operational conditions.

3. Technical and Cultivation Guidance Disclaimer

Certain sections of the Website may contain technical, agronomic, or operational guidance relating to mushroom cultivation, substrate use, strain selection, environmental control, and crop management. These sections include, but are not limited to: (i) Product pages, (ii) Grower Guidance pages, (iii) Substrate formulation descriptions, (iv) Strain descriptions, (v) Yield expectations, (vi) Biological efficiency ranges, (vii) Colonization timelines, (viii) Cultivation methods and recommendations.
This information is provided for general informational and educational purposes only, primarily intended for professional growers and industry participants.
Mushroom cultivation is a biological production process influenced by numerous variables that are outside the control of the Company. These variables include, but are not limited to: (i) environmental conditions such as temperature, air content mix, humidity, airflow, and lighting, (ii) microbial environment and contamination pressure, (ii) storage and handling conditions of substrate blocks, (iv) facility design and hygiene standards, (v) equipment used for climate control and irrigation,(vi)  water quality, (vii) operational practices of the grower, (viii) strain variability and biological fluctuations,(ix) harvest timing and crop management practices.
Because these factors vary significantly between cultivation facilities, regions, and operational methods, actual cultivation outcomes may differ substantially from examples or ranges presented on the Website. Yield data, biological efficiency percentages, colonization timelines, and crop cycle descriptions published on the Website represent indicative observations under controlled or optimized conditions and should not be interpreted as guaranteed results. Any references to expected yields, harvest cycles, production timelines, or biological efficiency are illustrative examples only. Accordingly, no rights may be derived from the cultivation guidance, yield data, or performance descriptions provided on the Website.
Users remain solely responsible for evaluating the suitability of any substrate product, strain, or cultivation method for their specific production systems. Professional growers are expected to conduct their own pilot trials, validation tests, and operational assessments before implementing cultivation techniques or relying on any performance expectations described on the Website.

4. Experimental and Biological Variability

Mushroom cultivation is inherently subject to biological variability. Even when identical substrate formulations, strains, and cultivation methods are used, production outcomes may vary significantly due to environmental conditions and operational practices. The Company does not guarantee any specific cultivation result, yield level, crop cycle duration, biological efficiency, or production performance. Users acknowledge that the cultivation guidance and product information provided on the Website do not constitute a performance warranty within the meaning of applicable law, including the Dutch Civil Code (Burgerlijk Wetboek).

5. Product Performance Variability

The performance of biological cultivation inputs, including but not limited to substrate blocks, inoculated materials, and fungal strains, is inherently subject to natural variability. Even when produced under controlled conditions and used according to generally accepted cultivation practices, the performance of such products may vary due to biological factors, environmental conditions, and operational practices that are outside the control of the Company.
Accordingly, references on the Website to performance characteristics such as colonization speed, pin formation, cluster density, biological efficiency, yield potential, or crop cycle duration should be understood as indicative observations obtained under specific cultivation conditions. Such references do not constitute guarantees of performance and shall not be interpreted as product warranties. Variations in cultivation outcomes between growers, facilities, production cycles, or geographic regions are normal and expected in biological production systems.

6. Cultivation Decision Responsibility

The Website may provide cultivation guidance, technical descriptions, agronomic recommendations, or practical examples intended to assist professional growers in understanding general cultivation principles. These materials are provided for informational purposes only and do not constitute operational instructions or mandatory cultivation protocols.
The User remains solely responsible for all decisions relating to: (i) cultivation methods, (ii) environmental settings, (iii) substrate handling, (iv) strain selection, (v) harvest timing, (vi) facility hygiene practices, (vii) climate management, (viii) irrigation and lighting systems, (ix) crop management strategies. The Company shall not be responsible for any cultivation decisions made by the User based on information obtained from the Website. Users acknowledge that the successful cultivation of mushrooms requires professional expertise and site-specific adjustments that cannot be fully addressed through general information published online. Accordingly, the Company accepts no liability for cultivation outcomes resulting from the implementation, interpretation, or adaptation of guidance provided on the Website.

7. No Offer or Contractual Commitment

The information contained on the Website does not constitute an offer, quotation, or legally binding commitment by the Company. Nothing on the Website shall be interpreted as forming a contractual relationship between the Company and the User. Any purchase of products or services shall be governed exclusively by the Company’s formal written quotation and the applicable General Terms and Conditions of Sale issued by the Company. In the event of discrepancies between Website information and official technical documentation, product specifications, or contractual documentation issued by the Company, the latter shall prevail.

8. Limitation of Liability

To the fullest extent permitted under applicable law, including the provisions of the Dutch Civil Code (Burgerlijk Wetboek), CNC Grondstoffen B.V. and its affiliated companies shall not be liable for any damage arising out of or in connection with the use of the Website or reliance on the information provided on the Website.

This limitation of liability applies in particular, but not exclusively, to damages resulting from: (i) inaccuracies or incompleteness of Website content, (ii) incorrect interpretation of technical or cultivation guidance, (iii) product selection decisions, (iv) cultivation practices based on Website information, (v) environmental or facility-specific conditions affecting production.
The Company shall not be liable for any indirect, consequential, or economic damages, including but not limited to: (i) loss of harvest or reduced yields, (ii) crop failure or contamination events, (iii) loss of profit or revenue, (iv) production downtime, (v) business interruption, (vi) loss of contracts or business opportunities, (vii) operational inefficiencies, (viii) environmental or facility damage.
The use of cultivation information, technical data, or product descriptions provided on the Website is undertaken entirely at the User’s own risk.
To the extent liability cannot legally be excluded, the Company’s liability shall in all cases be limited to the maximum extent permitted under Dutch law.
Nothing in these Terms of Use shall exclude liability where such exclusion is not permitted under mandatory provisions of law.

9. Website Availability

The Company does not guarantee that the Website will be continuously available or free from technical errors, interruptions, or cyber incidents.
The Company reserves the right to modify, suspend, or discontinue the Website or any part thereof at any time without prior notice.
The Company shall not be liable for any damages resulting from temporary or permanent unavailability of the Website.

10. Intellectual Property Rights

All content available on the Website, including but not limited to text, documentation, cultivation descriptions, technical information, images, graphics, logos, trademarks, and design elements, is protected by intellectual property laws and remains the exclusive property of the Company or its licensors.

Users are solely responsible for ensuring that the cultivation, handling, storage, and use of products comply with all applicable laws, regulations, safety standards, and industry requirements in their respective jurisdictions. The Website does not provide legal, regulatory, or compliance advice.
